These Terms of Service ("Terms") govern your access to and use of the Agro Glance website located at agroglance.com (the "Site") and any services provided by Agro Glance LLC ("Agro Glance," "we," "us," or "our").
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site or our services.
By accessing the Site, requesting information, submitting forms, watching video content, booking consultations, or engaging our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" refers to that entity.

IMPORTANT: Our Services provide detection, analysis, and documentation tools to support agricultural operations. We do not guarantee specific agricultural outcomes, crop yields, genetic purity levels, or regulatory compliance.

You acknowledge that Agro Glance provides detection and documentation services only. Final responsibility for field management decisions, crew deployment, genetic purity outcomes, and regulatory compliance remains with you.
Information provided through the Site or Services is for informational and operational guidance purposes only. It does not constitute professional agricultural advice, agronomic recommendations, or regulatory guidance.
You should consult with qualified agronomists, crop consultants, and regulatory experts before making significant operational decisions based on our detection results.
The Site and Services, including all content, features, functionality, software, code, AI models, algorithms, designs, text, graphics, logos, and trademarks, are owned by Agro Glance and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not use, reproduce, modify, distribute, or create derivative works of any Agro Glance intellectual property without our express written permission.
You retain all ownership rights to Field Data originating from your operations (including drone imagery of your fields and related operational information you provide).
By engaging our Services, you grant Agro Glance a limited license to:
We will not share your identifiable Field Data with third parties without your explicit written consent, except as required by law or as necessary to deliver Services (e.g., cloud processing providers under confidentiality agreements).
If you provide suggestions, ideas, enhancement requests, or other feedback regarding the Site or Services ("Feedback"), you grant Agro Glance a worldwide, perpetual, irrevocable, royalty-free license to use, incorporate, and exploit that Feedback for any purpose without compensation or attribution.
Pricing for Services is determined on a case-by-case basis and will be specified in your service agreement. Factors affecting pricing include field size, number of surveys, processing requirements, and geographic location.
Payment terms, schedules, and methods will be set forth in your service agreement. Unless otherwise specified, invoices are due within 30 days of issuance.
Late payments may be subject to interest charges of 1.5% per month (or the maximum rate permitted by law, whichever is lower) and may result in suspension of Services until payment is received.
All fees are exclusive of taxes. You are responsible for all applicable taxes, duties, and government charges (excluding taxes based on Agro Glance's income).
Each party agrees to maintain the confidentiality of the other party's confidential information and to use such information solely for purposes of performing under the service agreement.
"Confidential Information" includes Field Data, proprietary technology, business strategies, pricing information, and any information marked as confidential or that would reasonably be considered confidential.

We implement reasonable technical and organizational measures to protect information we collect and process. However, no method of transmission or storage is 100% secure.
Our collection, use, and protection of personal information and Field Data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
You are responsible for maintaining the confidentiality of any login credentials and for all activities that occur under your account.
THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
AGRO GLANCE DOES NOT WARRANT THAT:

IN NO EVENT SHALL AGRO GLANCE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE OR SERVICES EXCEED THE AMOUNT YOU PAID TO AGRO GLANCE IN THE 12 MONTHS PRECEDING THE CLAIM, OR €500, WHICHEVER IS GREATER.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, the above limitations may not apply to you, and our liability will be limited to the maximum extent permitted by applicable law.
You agree to indemnify, defend, and hold harmless Agro Glance and its officers, directors, employees, agents, affiliates, and partners from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from or related to:

You may stop using the Site at any time. If you are a Client, you may terminate your service agreement according to the terms specified in that agreement.

These Terms are governed by and construed in accordance with the laws of Hungary, without regard to its conflict of law principles.
Subject to the arbitration provision below, you agree that any legal action or proceeding arising from or related to these Terms or the Site shall be brought exclusively in the courts of Budapest, Hungary. You consent to the personal jurisdiction of such courts and waive any objection to venue.
Before initiating any formal legal proceedings, you agree to first contact us at info@agroglance.com to attempt to resolve the dispute informally. We commit to working in good faith to resolve disputes amicably.
If informal resolution is unsuccessful, any dispute arising from these Terms or the Services shall be resolved through binding arbitration administered by a mutually agreed arbitration organization, with proceedings conducted in Budapest, Hungary, in English.
Exceptions: Either party may seek injunctive or equitable relief in court to protect intellectual property rights or confidential information.
These Terms, together with our Privacy Policy and any service agreement you enter into, constitute the entire agreement between you and Agro Glance regarding the Site and Services, and supersede all prior agreements, understandings, and communications.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

Agro Glance is not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, fuel, energy, labor, or materials.
These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Agro Glance. You may not bind Agro Glance or act on our behalf without our express written permission.
These Terms are drafted in English. Any translations are provided for convenience only. In the event of any conflict between the English version and a translated version, the English version shall prevail.
